1. Acceptance of Terms

These Terms and Conditions ('Terms') govern your access to and use of the Karmika mobile application ('App'), operated by RASA MARCON PRIVATE LIMITED ('Company', 'we', 'us'). By registering, downloading, or using the App, you ('User') agree to be legally bound by these Terms. If you do not agree, you must immediately cease using the App.

These Terms apply to all categories of users, including Work Seekers (individuals seeking employment or work opportunities) and Work Providers (businesses or individuals seeking to hire workers).

2. Platform

Karmika is strictly a technology-based facilitation platform. Karmika does not employ, engage, supervise, or represent any Work Seeker or Work Provider. We do not participate in, oversee, or guarantee the outcome of any work arrangement, engagement, or transaction made between users through or outside the platform.

The App enables Work Seekers and Work Providers to discover and connect with each other. Once a connection is made, any agreement, arrangement, or contract entered into is solely between the Work Seeker and the Work Provider. Karmika is not a party to any such agreement and bears no responsibility for the performance, conduct, or outcome of any engagement.

3. Disclaimer of Liability — Work Provider

Karmika provides a platform to help Work Providers discover available workers. However, we expressly disclaim all liability for any of the following situations:

• A Work Seeker fails to arrive at the job site on time or at all.
• A Work Seeker abandons the work or leaves before the assigned task is complete.
• A Work Seeker performs the work negligently, inadequately, or in a manner that causes loss or damage
• A Work Seeker steals, misappropriates, or causes damage to any property, equipment, or assets at the workplace.
• A Work Seeker engages in misconduct, dishonesty, fraud, or any unlawful activity at or in connection with the workplace.
• A Work Seeker misrepresents their skills, qualifications, or experience.
• Any financial loss, reputational harm, or property damage arising from a Work Seeker's conduct.

Work Providers are solely responsible for conducting their own due diligence, background verification, skill assessment, and risk evaluation before engaging any Work Seeker found through the platform. Karmika does not verify, certify, or vouch for any worker's skills, conduct, character, or identity beyond what is self-declared on the platform.

4. Disclaimer of Liability — Work Seeker

Karmika facilitates connections between workers and businesses. We expressly disclaim all liability for any of the following situations:

• A Work Provider fails to pay the agreed remuneration in full, in part, or on time.
• A Work Provider unilaterally changes, reduces, or refuses to honour the terms of payment agreed upon.
• A Work Seeker sustains any personal injury, disability, illness, or death arising from or in connection with the performance of work.
• A Work Seeker is subjected to any form of workplace harassment, discrimination, unsafe working conditions, or abuse.
• Any accident, incident, or mishap occurring at or in transit to the workplace.
• Any dispute regarding the scope of work, working hours, or working conditions.
• Failure of a Work Provider to provide required safety equipment, training, or a safe working environment.

Work Seekers are advised to independently verify the legitimacy and safety of the work opportunity, the identity of the Work Provider, and the terms of engagement before accepting any assignment. Karmika strongly encourages Work Seekers to ensure that adequate insurance and safety arrangements are in place before commencing any work.

5. No Employment or Agency Relationship

Nothing in these Terms, nor any use of the Karmika platform, creates or implies any employment relationship, agency, partnership, joint venture, or franchise between Karmika and any user (whether a Work Seeker or a Work Provider). Work Seekers are independent individuals and not employees, contractors, or agents of Karmika. Work Providers are independent businesses and not principals or employers of Karmika.

Karmika does not determine or influence wages, working hours, job conditions, work outcomes, or any terms of the engagement between users.

6. User Obligations and Conduct

All users of the Karmika platform agree to:

• Provide accurate, complete, and truthful information in their profile and all interactions on the platform.
• Use the platform only for its intended purpose of facilitating legitimate work connections.
• Not misrepresent their identity, skills, qualifications, or the nature of work offered or sought.
• Comply with all applicable laws, regulations, and rules in their jurisdiction.
• Not use the platform for any unlawful, fraudulent, abusive, or harmful purpose.
• Treat all other users with respect and professionalism.
• Not post false, misleading, defamatory, or offensive content.
• Notify Karmika promptly of any suspected misuse, fraud, or safety concerns on the platform.

7. Payments and Subscriptions

Access to certain features of the Karmika platform requires a paid subscription. All subscription fees are charged in advance and are non-refundable unless otherwise stated by us in writing. Payments are processed through secure third-party payment gateways.

Karmika is not responsible for any payment made or received between a Work Seeker and a Work Provider. Any financial arrangement agreed between users is entirely outside the scope of Karmika's role and responsibility. We do not hold, transfer, or guarantee any wages or payments between users.

8. Intellectual Property

All content, trademarks, logos, technology, design elements, and intellectual property associated with the Karmika application are the exclusive property of RASA MARCON PRIVATE LIMITED. Users are granted a limited, non-exclusive, non-transferable licence to use the App for its intended purpose. No user may copy, reproduce, distribute, or commercially exploit any part of the App without prior written consent from the Company.

9. Limitation of Liability

To the maximum extent permitted under applicable law, Karmika and RASA MARCON PRIVATE LIMITED shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.
• Any loss of earnings, business opportunity, data, or reputation.
• Any physical injury, accident, illness, disability, or death occurring in connection with a work engagement facilitated through the platform.
• Any theft, property damage, fraud, or misconduct committed by any user.
• Any disputes, claims, or losses arising between Work Seekers and Work Providers.
• Any technical failures, downtime, or interruptions in app availability.

Karmika's total aggregate liability to any user, if any, shall not exceed the total amount paid by that user to Karmika in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Karmika, RASA MARCON PRIVATE LIMITED, and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, legal fees, and expenses arising from or related to:

• Your use of the platform or any work engagement entered into through it.
• Your breach of these Terms and Conditions.
• Any misrepresentation made by you to another user or to Karmika.
• Any third-party claims arising from your conduct.

11. Account Suspension and Termination

Karmika reserves the right to suspend, restrict, or permanently terminate any user account at its sole discretion, with or without prior notice, if a user:

• Violates any provision of these Terms and Conditions.
• Provides false, misleading, or fraudulent information.
• Engages in abusive, illegal, or harmful conduct on the platform.
• Misuses the platform in a manner that is detrimental to other users or to Karmika.

Upon termination, your right to use the App ceases immediately. Subscription fees paid are non-refundable upon termination due to policy violations.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and shall be construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India. Before initiating any legal proceedings, parties agree to attempt resolution through good-faith negotiation or mediation.

13. Amendments to These Terms

We reserve the right to update or amend these Terms and Conditions at any time. Updated terms will be published within the App and/or on our website. Your continued use of the App following any update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
