1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Karmika mobile application ("App"), operated by RASA MARCON PRIVATE LIMITED ("Company", "we", "us"). By registering, downloading, or using the App, you ("User") agree to be legally bound by these Terms. If you do not agree, you must immediately cease using the App.

These Terms apply to all categories of users, including Work Seekers (individuals seeking employment or work opportunities), Contractors (individuals or entities registering to offer a team of workers for engagement by Work Providers), and Work Providers (businesses or individuals seeking to hire Work Seekers or Contractors).

A Contractor registers on the App as a category of Work Seeker and, at the time of registration, represents the type of contracting work they undertake and the size of the team they are able to provide. Except where these Terms expressly state otherwise, all references to "Work Seeker" in this document include a Contractor, and all rights, obligations, disclaimers, and limitations applicable to a Work Seeker apply equally to a Contractor.

2. Platform

Karmika is strictly a technology-based facilitation platform. Karmika does not employ, engage, supervise, or represent any Work Seeker, Contractor, or Work Provider. We do not participate in, oversee, or guarantee the outcome of any work arrangement, engagement, or transaction made between users through or outside the platform.

The App enables Work Seekers, Contractors, and Work Providers to discover and connect with each other. A Work Provider may choose to engage an individual Work Seeker or a Contractor's team through the App. Once a connection is made, any agreement, arrangement, or contract entered into is solely between the users involved. Karmika is not a party to any such agreement and bears no responsibility for the performance, conduct, or outcome of any engagement.

Where a Work Provider engages a Contractor, Karmika does not employ, engage, supervise, verify, or represent any individual member of that Contractor's team. The Contractor is solely responsible for their team's composition, conduct, and performance.

3. Disclaimer of Liability — Work Provider

Karmika provides a platform to help Work Providers discover available Work Seekers and Contractor teams. However, we expressly disclaim all liability for any of the following situations:

• A Work Seeker fails to arrive at the job site on time or at all.
• A Work Seeker abandons the work or leaves before the assigned task is complete.
• A Work Seeker performs the work negligently, inadequately, or in a manner that causes loss or damage.
• A Work Seeker steals, misappropriates, or causes damage to any property, equipment, or assets at the workplace.
• A Work Seeker engages in misconduct, dishonesty, fraud, or any unlawful activity at or in connection with the workplace.
• A Work Seeker misrepresents their skills, qualifications, or experience.
• A Contractor misrepresents the type, size, or composition of their team, or fails to provide the number of workers represented at the time of registration or engagement.
• Any member of a Contractor's team engages in conduct described above — Karmika disclaims liability in the same manner as for a Work Seeker, and the Contractor remains solely responsible for that team member's conduct and performance.
• Any financial loss, reputational harm, or property damage arising from the conduct of a Work Seeker, a Contractor, or any member of a Contractor's team.

Work Providers are solely responsible for conducting their own due diligence, background verification, skill assessment, and risk evaluation before engaging any Work Seeker or Contractor found through the platform. Karmika does not verify, certify, or vouch for any worker's or Contractor's skills, conduct, character, team composition, or identity beyond what is self-declared on the platform.

4. Disclaimer of Liability — Work Seeker

Karmika facilitates connections between Work Seekers, Contractors, and Work Providers. We expressly disclaim all liability for any of the following situations:

• A Work Provider fails to pay the agreed remuneration in full, in part, or on time.
• A Work Provider unilaterally changes, reduces, or refuses to honour the terms of payment agreed upon.
• A Work Seeker sustains any personal injury, disability, illness, or death arising from or in connection with the performance of work.
• A Work Seeker is subjected to any form of workplace harassment, discrimination, unsafe working conditions, or abuse.
• Any accident, incident, or mishap occurring at or in transit to the workplace.
• Any dispute regarding the scope of work, working hours, or working conditions.
• Failure of a Work Provider to provide required safety equipment, training, or a safe working environment.
• Any of the above situations arising in respect of a member of a Contractor's team — Karmika disclaims liability in the same manner as for a Work Seeker. The Contractor, and not Karmika, is responsible for the welfare, safety, and payment of their own team members.

Work Seekers and Contractors are advised to independently verify the legitimacy and safety of the work opportunity, the identity of the Work Provider, and the terms of engagement before accepting any assignment. Karmika strongly encourages Work Seekers and Contractors to ensure that adequate insurance and safety arrangements are in place before commencing any work.

5. No Employment or Agency Relationship

Nothing in these Terms, nor any use of the Karmika platform, creates or implies any employment relationship, agency, partnership, joint venture, or franchise between Karmika and any user, including a Work Seeker, a Contractor, a member of a Contractor's team, or a Work Provider. Work Seekers and Contractors are independent individuals or entities and not employees, contractors, or agents of Karmika. Work Providers are independent businesses and not principals or employers of Karmika.

Karmika does not determine or influence wages, working hours, job conditions, work outcomes, or any terms of the engagement between users.

Where a Contractor engages a team of workers to fulfil an engagement found through the App, the Contractor is solely and exclusively responsible, as the employer or principal employer (as applicable), for compliance with all applicable labour laws in connection with that team, including but not limited to the Contract Labour (Regulation and Abolition) Act, 1970, applicable state Shops and Establishments legislation, minimum wage and payment of wages legislation, statutory registrations and licences, and any other obligation arising from the engagement of their team members. Karmika bears no responsibility for a Contractor's compliance with such laws and makes no representation as to a Contractor's legal status or standing to engage a team.

6. User Obligations and Conduct

All users of the Karmika platform agree to:

• Provide accurate, complete, and truthful information in their profile and all interactions on the platform.
• Use the platform only for its intended purpose of facilitating legitimate work connections.
• Not misrepresent their identity, skills, qualifications, or the nature of work offered or sought.
• Comply with all applicable laws, regulations, and rules in their jurisdiction.
• Not use the platform for any unlawful, fraudulent, abusive, or harmful purpose.
• Treat all other users with respect and professionalism.
• Not post false, misleading, defamatory, or offensive content.
• Notify Karmika promptly of any suspected misuse, fraud, or safety concerns on the platform.
• Contractors additionally agree to accurately represent the type, size, and composition of their team at the time of registration and to promptly update this information if it changes, to be solely responsible for the recruitment, supervision, and lawful engagement of their team members, and to ensure their team members' conduct is consistent with these Terms.

7. Payments and Karmika Coins

Access to certain features of the Karmika platform is provided through Karmika Coins, a prepaid, in-app virtual currency used exclusively within the App. Users may purchase Karmika Coins through the App, which are then used to access paid actions, including but not limited to contacting a Work Seeker or Contractor and posting a job requirement.

Karmika Coins have no monetary value outside the App, cannot be redeemed for cash, cannot be transferred to another user or account, and cannot be used outside the Karmika platform.

Karmika Coins purchased by a user do not expire and carry forward on the user's account until used, subject to these Terms and applicable law. Coins are deducted from a user's balance at the time a paid action is performed. Once deducted for a completed action, Karmika Coins are non-refundable, except where required by applicable law or expressly stated otherwise by Karmika in writing. Unused Karmika Coin balances are similarly non-refundable except as required by applicable law.

All payments for Karmika Coins are processed through secure third-party payment gateways. Karmika is not responsible for payment processing errors, delays, or failures caused by third-party payment providers.

Karmika is not responsible for any payment made or received between a Work Seeker, a Contractor, and a Work Provider in connection with any work engagement. Any financial arrangement agreed between users in relation to wages, remuneration, or payment for services rendered is entirely outside the scope of Karmika's role and responsibility. We do not hold, transfer, or guarantee any wages or payments between users.

Karmika Coins credited to a user free of charge, including signup bonuses and festival or promotional grants, are valid for ninety (90) days from the date of credit and will lapse if unused within that period. This 90-day validity applies only to Karmika Coins credited free of charge and does not affect Karmika Coins purchased by a user, which remain valid and carry forward as set out above. Where a user's balance includes both free and purchased Karmika Coins, free Karmika Coins will be used before purchased Karmika Coins, so that a user's paid balance is not reduced by the lapsing of free Coins.

Karmika reserves the right to modify the pricing of Karmika Coins, the number of coins required for any action, or the availability of Karmika Coins, at its discretion, with reasonable notice provided within the App.

8. Intellectual Property

All content, trademarks, logos, technology, design elements, and intellectual property associated with the Karmika application are the exclusive property of RASA MARCON PRIVATE LIMITED. Users are granted a limited, non-exclusive, non-transferable licence to use the App for its intended purpose. No user may copy, reproduce, distribute, or commercially exploit any part of the App without prior written consent from the Company.

9. Limitation of Liability

To the maximum extent permitted under applicable law, Karmika and RASA MARCON PRIVATE LIMITED shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.
• Any loss of earnings, business opportunity, data, or reputation.
• Any physical injury, accident, illness, disability, or death occurring in connection with a work engagement facilitated through the platform, whether involving a Work Seeker, a Contractor, or a member of a Contractor's team.
• Any theft, property damage, fraud, or misconduct committed by any user, or by any member of a Contractor's team.
• Any disputes, claims, or losses arising between Work Seekers, Contractors, or Work Providers, including disputes between a Contractor and members of their own team.
• Any technical failures, downtime, or interruptions in app availability.

Karmika's total aggregate liability to any user, if any, shall not exceed the total amount paid by that user to Karmika in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Karmika, RASA MARCON PRIVATE LIMITED, and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, legal fees, and expenses arising from or related to:

• Your use of the platform or any work engagement entered into through it.
• Your breach of these Terms and Conditions.
• Any misrepresentation made by you to another user or to Karmika, including, in the case of a Contractor, any misrepresentation regarding the size, composition, or skills of their team.
• Any third-party claims arising from your conduct, or, in the case of a Contractor, from the conduct of any member of their team.

11. Account Suspension and Termination

Karmika reserves the right to suspend, restrict, or permanently terminate any user account at its sole discretion, with or without prior notice, if a user:

• Violates any provision of these Terms and Conditions.
• Provides false, misleading, or fraudulent information, including a Contractor's misrepresentation of their team.
• Engages in abusive, illegal, or harmful conduct on the platform.
• Misuses the platform in a manner that is detrimental to other users or to Karmika.

Upon termination, your right to use the App ceases immediately. Karmika Coin balances are forfeited upon termination due to policy violations and are non-refundable.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and shall be construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating any legal proceedings, parties agree to attempt resolution through good-faith negotiation or mediation.

13. Amendments to These Terms

We reserve the right to update or amend these Terms and Conditions at any time. Updated terms will be published within the App and/or on our website. Your continued use of the App following any update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
